Dejando de lado la parte "operativa" de la empresa, que sigue su curso, esta lo "divertido" que es donde se libra la lucha.... realmente.

Como los convertibles vencen en los proximos meses, quien se quiera entretener hay un duelo entre shortsellers buscando titulos para aumentar la posición (underwater ronda hoy los 299 USD con saldo de unos 33,5M de titulos), y los long buscando arrinconar el precio y acercarse a los 360 USD para no tener que poner el dinero. Y por el camino, en la realidad paralela, ya hemos pasado a la fase II, hacer "creatividades" para enjuagar 3Q18.

Digamos que ambas partes estan... "subiendo las apuestas"

Un comentario importante. No hay comparacion posible entre Musk y Jobs (jamas tuve una posicion corta el Apple (no estoy tan loco).... pero tampoco un producto suyo salvo un regalo que me hizo un forero a modo de humor)

Tesla and the Securities and Exchange Commission were close to a no-guilt settlement but Elon Musk pulled out at the last minute, sources told CNBC.

Under the deal, Musk and Tesla would have had to pay a nominal fine, and the CEO would not have had to admit any guilt, the sources said. However, the settlement would have barred Musk as chairman for two years and would require Tesla to appoint two new independent directors, CNBC's David Faber, citing sources.

Musk refused to sign the deal because he felt that by settling he would not be truthful to himself, and he wouldn't have been able to live with the idea that he agreed to accept a settlement and any blemish associated with that, the sources said.

Tesla did not immediately reply to CNBC's request for comment about the collapse of the deal at the last minute, which was disclosed to Andrew Ross Sorkin by sources who spoke on condition of anonymity.

Musk said Thursday the SEC's allegations are "unjustified" and that he acted in the best interests of investors.

"Tesla and the board of directors are fully confident in Elon, his integrity, and his leadership of the company, which has resulted in the most successful U.S. auto company in over a century. Our focus remains on the continued ramp of Model 3 production and delivering for our customers, shareholders and employees," said Tesla's board of directors in a statement.

The SEC sued Tesla on Thursday, alleging fraud over Musk's tweet on Aug. 7 in which he announced he was planning to take the company private and had secured funding for the deal. It would have been the largest such transaction of its kind.

Musk later said in a blog post he had been approached by the Saudi Arabian sovereign wealth fund multiple times about investing in Tesla, making him confident he would be able to secure the funds needed to take the company private at his price of $420 per share.

Musk called off his plans to take Tesla private on Aug. 24.

The Wall Street Journal was first to report news of the proposed settlement Musk turned down.

For Tesla, the stakes are high. It is unclear if Musk will step down and what the company would be like without him at the helm. These issues have been a distraction for the company, which has been trying to ramp up production of its first mass market vehicle, the Model 3.

There is about a 25 percent chance Musk remains CEO of Tesla now that the SEC is suing the company, said Gene Munster, a managing partner of venture capital firm Loup Ventures, which invests in technology companies.

The settlement notably would have gone some way in eliminating some the overhang on the stock.

Since Musk so far has chosen to fight this, it could take years to reach an outcome, Bernstein analyst Toni Sacconaghi said in a note Friday.

"In the absence of a settlement, the mere possibility that Musk could be removed as CEO (or entirely from Telsa) is likely to cast an overhang on the stock, and make it extremely difficult for the company to raise capital (either private or public)," Sacconaghi said.

It is still possible Musk will settle with the SEC, said Charles Elson, director of the Weinberg Center for Corporate Governance at the University of Delaware.

"These things almost always settle," Elson said. "The consequences of not settling it are a lot worse, and this is a pretty straightforward case for the SEC."

The SEC could impose hefty fines and ban Musk from serving as an executive or director of a publicly traded company for life. The charges also open up Tesla to lawsuits from investors who bought and sold shares based on Musk's tweet about going private.

Shares of Tesla plummeted more than 15 percent Friday morning, putting it on pace for its worst day since 2013. The stock is down 30 percent from its 52-week high of $387.46, which it hit on the day of Musk's tweet.

Analysts have been revising their opinions on Tesla since the charges were reported. On Friday, both Citigroup and CFRA downgraded Tesla's stock to a sell, citing the SEC's suit. CFRA also cut its price target to $225 from $265.

Lucid Motors has secured a deal with Electrify America to use the company’s charging network throughout the United States.

Electrify America, formed by Volkswagen as part of its punishment for the dieselgate scandal, will invest $2 billion into electric car infrastructure across the country over the next decade. By the end of June 2019, the company intends on having over 2000 chargers at 500 different sites. Impressively, Electrify America’s fast chargers will support 350 kW charging rates, capable of adding 20 miles (32 km) of range per minute.

As a startup, creating a proprietary charging infrastructure like Tesla would have been extremely difficult for Lucid. It’s, therefore, no surprise it has joined forces with a third-party provider.

Securing charging locations is extremely important for a small firm like Lucid.

There aren’t any electric vehicles currently on the market that will be able to make use of Electrify America’s 350 kW charging capacities. However, Lucid has previously suggested that its first model, the Air, will be able to handle 350 kW supplies. The next e-tron model from Audi and the all-electric Porsche Taycan will also offer support for 350 kW charging.

Details about the Lucid and Electrify America deal remain unclear as almost all EV users will have access to Electrify America’s network. One possibility is that Lucid owners will be charged a discounted rate whenever they top up their vehicles. They could also be given some free charging. Electrify America will initially charge a $1 per session fee and between 30 cents and 35 cents per minute of charging.

Lucid recently secured a huge win after securing a $1 billion investment from Saudi Arabia’s sovereign wealth fund.

Bueno parece que ya es oficial, Musk y Tesla firmarán finalmente el acuerdo con la SEC para dar carpetazo a la investigación aceptando su culpabilidad, 20 millones pagará el visionario y 20 la compañía. Musk dejará la presidencia del consejo de administración de Tesla pero seguirá siendo CEO de la misma, aunque no se si consejero delegado real o sólo manteniendo su imagen para evitar que Tesla reciba mañana otro palo más gordo todavía en bolsa...

Settlement Requires Musk to Step Down as Tesla’s Chairman; Tesla to Appoint Additional Independent Directors; Tesla and Musk Agree to Pay $40 million in Penalties

Washington D.C., Sept. 29, 2018 —

The Securities and Exchange Commission announced today that Elon Musk, CEO and Chairman of Silicon Valley-based Tesla, Inc., has agreed to settle the securities fraud charge brought by the SEC against him last week. The SEC also today charged Tesla with failing to have required disclosure controls and procedures relating to Musk’s tweets, a charge that Tesla has agreed to settle. The settlements, which are subject to court approval, will result in comprehensive corporate governance and other reforms at Tesla—including Musk’s removal as Chairman of the Tesla board—and the payment by Musk and Tesla of financial penalties.

According to the SEC’s complaint against him, Musk tweeted on August 7, 2018 that he could take Tesla private at $420 per share — a substantial premium to its trading price at the time — that funding for the transaction had been secured, and that the only remaining uncertainty was a shareholder vote. The SEC’s complaint alleged that, in truth, Musk knew that the potential transaction was uncertain and subject to numerous contingencies. Musk had not discussed specific deal terms, including price, with any potential financing partners, and his statements about the possible transaction lacked an adequate basis in fact. According to the SEC’s complaint, Musk’s misleading tweets caused Tesla’s stock price to jump by over six percent on August 7, and led to significant market disruption.

According to the SEC’s complaint against Tesla, despite notifying the market in 2013 that it intended to use Musk’s Twitter account as a means of announcing material information about Tesla and encouraging investors to review Musk’s tweets, Tesla had no disclosure controls or procedures in place to determine whether Musk’s tweets contained information required to be disclosed in Tesla’s SEC filings. Nor did it have sufficient processes in place to that Musk’s tweets were accurate or complete.

Musk and Tesla have agreed to settle the charges against them without admitting or denying the SEC’s allegations. Among other relief, the settlements require that:

• Musk will step down as Tesla’s Chairman and be replaced by an independent Chairman. Musk will be ineligible to be re-elected Chairman for three years;
• Tesla will appoint a total of two new independent directors to its board;
• Tesla will establish a new committee of independent directors and put in place additional controls and procedures to oversee Musk’s communications;
• Musk and Tesla will each pay a separate $20 million penalty. The $40 million in penalties will be distributed to harmed investors under a court-approved process.

“The total package of remedies and relief announced today are specifically designed to address the misconduct at issue by strengthening Tesla’s corporate governance and oversight in order to protect investors,” said Stephanie Avakian, Co-Director of the SEC’s Enforcement Division.

“As a result of the settlement, Elon Musk will no longer be Chairman of Tesla, Tesla’s board will adopt important reforms —including an obligation to oversee Musk’s communications with investors—and both will pay financial penalties,” added Steven Peikin, Co-Director of the SEC’s Enforcement Division. “The resolution is intended to prevent further market disruption and harm to Tesla’s shareholders.”

The SEC’s investigation was conducted by Walker Newell, Brent Smyth, and Barrett Atwood and supervised by Steven Buchholz, Erin Schneider, and Jina Choi in the San Francisco Regional Office and Cheryl Crumpton in the SEC’s Home Office.

No han pasado ni 72 horas desde que la Comisión de Bolsa y Valores de Estados Unidos acusara a Elon Musk de fraude y ya han llegado a un acuerdo todas las partes implicadas. Elon Musk está obligado a renunciar como presidente de Tesla, aunque podrá seguir siendo CEO de la compañía. Junto a esto, tanto él como la propia Tesla desembolsarán 20 millones de dólares como multa.

Tal y como ha comunicado la Comisión de Bolsa y Valores de Estados Unidos (SEC en sus siglas en inglés), han llegado a un acuerdo con el CEO de Tesla para resolver la acusación de fraude en la que estaba implicado. El pasado siete de agosto Elon Musk alertó mediante su cuenta de Twitter la posibilidad de hacer de Tesla una compañía privada de nuevo. Nunca se materializó esta idea, pero sí que tuvo efectos colaterales en bolsa. Efectos por los que la SEC ha tomado cartas en el asunto.

Lo sorprendente es lo rápido que han llegado a un acuerdo ambas partes: menos de tres días. Según los informes, antes de la acusación formal del pasado 27 de septiembre había un acuerdo provisional que fracasó. Ese acuerdo implicaba una suspensión como presidente de Tesla durante dos años y una multa de diez millones de dólares. Elon Musk finalmente decidió no seguir adelante, por lo que horas más tarde llegó la acusación formal. Y ahora, llega el acuerdo final, más severo para Tesla y su CEO.


Las condiciones que debe atajar Elon Musk
Elon Musk tendrá que dimitir como presidente de Tesla en los próximos 45 días, no podrá volver a asumir este cargo por lo menos durante los próximos tres años. Eso sí, puede seguir siendo el CEO de la empresa, pero Tesla tiene que elegir dos nuevos directores independientes para la junta.

Un abogado supervisará todas las comunicaciones públicas de Elon Musk, incluidos sus tweets.
En cuanto a dinero se refiere, tanto Elon Musk como Tesla (por no actuar correctamente tras las declaraciones de su CEO) tendrán que pagar 20 millones de dólares cada uno. La suma de los 40 millones de dólares se distribuirá entre los inversores que hayan podido ser perjudicados por los movimientos que hizo Elon Musk al anunciar que consideraba comprar Tesla.


Pero además de todo esto, hay algunas condiciones curiosas más. Por ejemplo, Tesla deberá contratar un abogado que supervise las comunicaciones públicas de Elon Musk, y sí, eso incluye su cuenta de Twitter. El multimillonario ha tenido que aceptar también como condición no admitir ni negar si fue culpable de fraude de valores. Es decir, no puede hacer público si realmente cometió un fraude o no.

Y los yanquis no se andan con tonterías, si tienes mucho dinero tienes muchas de ganar pero, de vez en cuando, se les da por querer un vellocino y esquilan a un borrego, por muy rico que sea. Y Elon se ha convertido en borrego de unos años "pa'cá".

Lo que consigue a cambio no tiene precio, esa imagen de arrepentido compensando su error.

Aunque no entiendo bien qué relación hay entre tesla pagando multa 'de su bolsillo' y comprar acciones de tesla. Si no las compra directamente a tesla, tesla no se beneficia del movimiento, no?
